Highlights â€‹

  • Drafting and negotiating the acquisition of Petroleum Rights and Licences: Block 61 (Khazzan) Exploration and Production Sharing Agreement (EPSA) in Oman; the first Technical Services Contract (TSC) awarded in Iraq for the world’s second largest field; a share of the new Abu Dhabi Onshore Concession contributing half of Abu Dhabi’s oil production and ADNOC LNG (ADGAS) Abu Dhabi’s arm for LNG production and export sales; Egypt’s Production Sharing Agreements (PSAs) in the Gulf of Suez and the Merged Area Concession Extension, the largest oil producing concession in Egypt, and multiple PSAs in the offshore areas of the Mediterranean; the Risha Concession in Jordan; and the Enhanced Technical Services Agreement covering the giant Burgan Field in Kuwait.

  • Advising on partner agreements associated with Petroleum Rights and Licences with European, Asian and partners in Egypt, Iraq, Oman and UAE Joint Bidding Agreements, Joint Operating Agreements and creating incorporated and non-incorporated operating JV entities e.g., Rumaila Operating Organisation (ROO) in Iraq, In Salah Gas (ISG) and In Amenas JVs in Algeria, ADNOC Onshore in the UAE and GUPCO and Pharaonic Petroleum Company (PhPC) in Egypt.

  • Establishing and drafting the entire governance and operating structure in Rumaila including security arrangements and associated human rights protections in Iraq. Negotiating and drafting the government and third-party facility sharing, risk allocation, use and operating agreements for the development and production of gas in Oman including gas and condensate transportation.

  • Advising on and setting up legal frameworks for infrastructure abandonment and decommissioning and transfer of operatorship in legacy operations in Egypt (GUPCO), Sharjah (Sajaa field Shalco), and in Abu Dhabi (first ADCO and ADMA concessions).

​

  • Providing legal advice and agreements relating to BP's share in 14 gas fields in the North Sea together with associated pipelines and onshore processing facilities tied to the Bacton terminal, tie back and gas Transportation agreements, Tie-in, and Production and Operating Services Agreements.

​

  • Sale and disposal of UKCS exploration (fallow blocks) and related assignment and novation agreements and asset and share sales and purchase agreements in connection with interests in Pakistan, Oman and the UAE.

​

  •  ICC, SIAC and LCIA arbitrations relating to LNG deliveries and price renegotiation disputes in Indonesia and Australia, as well as disputes with services providers and construction contractors in Libya and Algeria.

​

  • Advice and guidance relating to: the Foreign Corrupt Practices Act and UK Bribery Act; US and UK Trade and Economic Sanctions, US and UK Export Controls and Anti-Boycott legislation particularly on Iran through liaising with UK and US counsel; and the application of the UK Modern Slavery Act to operations in the middle east.

  • Negotiation and drafting of product distribution, agency and licencing agreements and the creation of joint ventures in connection with the sale of lubricants, marine and air fuels in KSA, Egypt, Oman, Qatar, Bahrain, Kuwait, Bangladesh and Iran.
